1. Introduction and Acceptance of Terms
Welcome to Feqino AI.
These Terms of Service ("Terms") govern access to and use of the website located at https://www.feqino.com and the AI automation, software development, consulting, and related services provided by Feqino AI.
Feqino AI is an independent freelance business operated by Yousef Alfeky, based in Alexandria, Egypt.

"You," "your," and "Client" refer to individuals or organizations accessing our website or purchasing our services.
By accessing or using our website, you agree to comply with the provisions applicable to website visitors.
Before purchasing paid services, you will be asked to accept these Terms or enter into a separate written service agreement.
Where a separate signed agreement conflicts with these Terms, the separate agreement will generally prevail for the services it governs, except where mandatory applicable law requires otherwise.
If you disagree with these Terms, please discontinue use of our website and services.

To enter into a service agreement, you must:
- Be at least 18 years old or otherwise possess the legal capacity required to enter into the agreement.

- Use our services for lawful purposes.
- Comply with applicable laws and these Terms.
If you represent a business or organization, you confirm that you have the authority to enter into agreements on its behalf.
Feqino AI reserves the right to decline service requests where providing the requested services would be unlawful, technically infeasible, or inconsistent with our acceptable use requirements.
4. Project Agreements and Scope of Work
Feqino AI provides customized services based on individual client requirements.
Before commencing a paid project, the parties should agree on the relevant project details, including:
- Description of services.
- Project deliverables.
- Implementation timeline.
- Pricing and payment schedule.
- Relevant third-party integrations.
- Responsibilities of each party.
- Support and maintenance arrangements.
- Intellectual property ownership.
- Applicable usage limits.
These details may be documented in a proposal, statement of work, quotation, or separate service agreement.
Work outside the agreed scope requires additional approval.
Feqino AI may provide a separate quotation for additional features, integrations, significant modifications, or expanded functionality.
We are not obligated to perform substantial additional work without mutual agreement.
5. Payments and Billing
Feqino AI may offer one-time development services, recurring subscriptions, ongoing maintenance, or combinations of these arrangements.
5.1 Project-Based Payments
Payment amounts and schedules will be agreed upon individually.
Depending on the project, payment may be requested:
- Before work begins.
- At agreed development milestones.
- Upon completion of specified deliverables.
- According to another mutually agreed schedule.
5.2 Recurring Services
Certain services may involve recurring charges for hosting, maintenance, monitoring, technical support, or managed AI automation.
Recurring charges, billing intervals, renewal conditions, and cancellation arrangements will be disclosed before the client commits to the service.
No recurring subscription will be imposed without an applicable agreement or valid authorization.
5.3 Third-Party Expenses
Services may require third-party platforms, including AI providers, telecommunications services, hosting providers, and automation platforms.
Depending on the client agreement:
- Clients may pay third-party providers directly.
- Feqino AI may include such expenses in its service fees.
- Additional charges may be separately agreed.
Clients will be informed of relevant recurring third-party costs before accepting them.
5.4 Late Payments
If an undisputed payment remains overdue, Feqino AI may issue a payment reminder and provide a reasonable opportunity to resolve the outstanding balance.
If payment remains outstanding after appropriate notice, we may suspend affected services until payment is received.
Suspension will be handled in accordance with the applicable agreement and mandatory law.
6. Refunds and Cancellations
Refund eligibility is generally determined by the applicable service agreement and the status of work performed.
Unless otherwise agreed, refunds may take into consideration:
- Work already completed.
- Deliverables already provided.
- Noncancelable third-party expenses.
- Outstanding contractual obligations.
- The reason for cancellation.
Completed services and properly incurred costs are not automatically refundable merely because a client changes their mind.
However, nothing in these Terms limits statutory refund, withdrawal, cancellation, or other consumer rights that cannot legally be excluded.
Where applicable consumer protection law grants additional rights, those rights take precedence over conflicting contractual provisions.
7. Client Responsibilities
Clients are responsible for providing the information, cooperation, permissions, and access reasonably required to deliver agreed services.
Clients must:
- Provide accurate business or personal information.
- Supply appropriate instructions for AI automation systems.
- Ensure they have lawful authority to provide personal data.
- Maintain necessary third-party accounts and subscriptions where agreed.
- Review and approve operational workflows when required.
- Maintain appropriate human supervision of AI systems.
- Notify Feqino AI of known technical problems or unauthorized activity.
- Comply with applicable laws concerning privacy, marketing, telecommunications, and intellectual property.
Where clients provide inaccurate or incomplete information, Feqino AI is not automatically responsible for errors resulting solely from that information.
This provision does not exclude responsibility for Feqino AI's own contractual breaches, negligence, or other legally actionable conduct.
8. Acceptable Use Policy
Clients may not use Feqino AI services to engage in unlawful, fraudulent, abusive, or unauthorized activities.
Prohibited activities include:
- Fraud, impersonation, or deceptive communications.
- Unauthorized surveillance or collection of personal information.
- Unlawful marketing calls or messages.
- Harassment, threats, or abusive communications.
- Unauthorized access to computer systems.
- Distribution of malicious software.
- Infringement of intellectual property rights.
- Illegal processing or disclosure of confidential information.
- Circumvention of security controls.
- Use of AI systems to facilitate unlawful or harmful activities.
Clients must comply with applicable laws governing automated telephone calls, marketing messages, call recording, and consent.
Feqino AI may refuse, restrict, or suspend services where there is a reasonable basis to believe that serious misuse or unlawful activity is occurring.
9. Artificial Intelligence and Automated Services
Feqino AI develops systems using artificial intelligence technologies.
These technologies may generate responses, process requests, communicate with users, and perform authorized administrative tasks.
9.1 AI Accuracy
AI-generated information may occasionally contain errors, omissions, or inaccuracies.
AI systems may misunderstand instructions, produce inappropriate responses, or fail to complete an intended task.
Feqino AI does not guarantee that every AI-generated response will be accurate, complete, or suitable for every purpose.
Nevertheless, we remain responsible for the contractual obligations and applicable legal duties that we undertake.
9.2 Client Oversight
Clients must maintain human oversight appropriate to the risks associated with their AI systems.
The required level of oversight may depend on:
- The type of information processed.
- The consequences of inaccurate responses.
- The industry in which the system operates.
- Applicable legal or regulatory obligations.
9.3 AI Transparency
Where AI agents interact with customers or other individuals, Feqino AI intends for those individuals to be informed that they are interacting with artificial intelligence.
Clients must not intentionally configure or use our systems to deceptively impersonate humans where such conduct is unlawful or misleading.
9.4 AI Training
Feqino AI does not use clients' confidential information or customer conversations to train its own AI models without appropriate authorization.
Third-party AI providers may have separate data processing practices, which will be governed by their applicable terms and relevant service agreements.
10. Healthcare and High-Risk Uses
Some Feqino AI services may be provided to healthcare organizations.
Unless expressly agreed in a legally compliant arrangement, Feqino AI's systems are intended for administrative assistance rather than independent clinical decision-making.
AI agents must not independently:
- Diagnose medical conditions.
- Prescribe medications.
- Replace qualified healthcare professionals.
- Make clinical treatment decisions.
- Serve as substitutes for emergency medical services.
Healthcare clients are responsible for establishing suitable clinical supervision, escalation procedures, and accurate administrative instructions.
Feqino AI may implement agreed emergency escalation workflows, but these do not constitute a guarantee that every emergency will be correctly identified.
Any proposed clinical or otherwise high-risk use requires separate evaluation, appropriate safeguards, and compliance with applicable law.
11. Third-Party Platforms and Integrations
Feqino AI services may depend on external software and infrastructure providers.
These may include AI platforms, hosting providers, CRM applications, telecommunications services, and automation tools.
Examples of potential providers include:
- Vercel.
- GoHighLevel.
- OpenAI.
- Anthropic.
- Twilio.
- ElevenLabs.
- n8n.
- Make.
- Google services.
Vercel is currently used for website hosting, and GoHighLevel provides the booking calendar on our website. Other providers may be introduced depending on service requirements.
Third-party providers operate under their own terms, policies, pricing structures, and technical limitations.
Feqino AI cannot guarantee the uninterrupted availability of third-party infrastructure.
However, we remain responsible for managing our own obligations and for any specific third-party performance commitments expressly undertaken in a service agreement.
Clients may be required to maintain their own third-party accounts, credentials, and subscriptions.
12. Service Availability and Maintenance
Feqino AI will use commercially reasonable efforts to deliver and maintain contracted services.
Unless expressly agreed in a separate service-level agreement, we do not guarantee a specific percentage of uptime or uninterrupted availability.
Temporary interruptions may occur because of:
- Maintenance.
- Software updates.
- Technical failures.
- Internet connectivity problems.
- Third-party outages.
- API changes or usage limits.
- Security incidents.
- Events outside reasonable control.
Where reasonably possible, we will communicate planned interruptions affecting managed services.
Any specific uptime commitments, incident response times, or service credits must be documented separately.
13. Usage Limits and Additional Charges
Certain AI services may be subject to usage limits.
These may include:
- AI API requests.
- Telephone calling minutes.
- SMS volume.
- Data processing volume.
- Automation executions.
- Cloud storage.
- Other third-party resource consumption.
Applicable limits and any additional charges will be specified in the client's service agreement or agreed pricing schedule.
Feqino AI will not impose undisclosed overage fees.
Where usage exceeds agreed limits, we may request authorization for additional charges or temporarily restrict affected functionality according to the applicable agreement.
14. Intellectual Property Rights
14.1 Feqino AI Materials
Feqino AI retains ownership of its pre-existing intellectual property, including original code, reusable templates, automation frameworks, documentation, methodologies, and proprietary materials.
These rights do not extend to third-party intellectual property that Feqino AI does not own.
14.2 Client Materials
Clients retain their ownership or applicable rights in the information, branding, documents, and other materials they provide.
Clients grant Feqino AI the permissions reasonably necessary to use those materials for the agreed services.
Clients are responsible for ensuring they have authority to provide such materials.
14.3 Custom Deliverables
Ownership and licensing rights for custom-developed websites, automations, code, and other deliverables will be determined by the applicable service agreement.
Unless otherwise agreed, payment for a service does not automatically transfer Feqino AI's pre-existing intellectual property.
14.4 AI-Generated Outputs
Rights to AI-generated outputs will depend on applicable law, relevant third-party provider terms, and the client agreement.
Feqino AI does not guarantee that AI-generated content is unique, eligible for intellectual property protection, or free from similarities to third-party content.
15. Confidentiality
Both parties agree to protect confidential information received through their business relationship.
Confidential information may include:
- Business strategies.
- Technical documentation.
- Client records.
- Customer information.
- Proprietary workflows.
- Financial information.
- Access credentials.
- Nonpublic project materials.
Each party agrees to use confidential information only for authorized purposes and to disclose it only where reasonably necessary and legally permitted.
Confidentiality obligations do not apply to information that is lawfully public, independently developed without using confidential information, or lawfully obtained without confidentiality restrictions.
These obligations continue after termination for as long as the information remains protected under applicable law or the relevant agreement.
16. Privacy and Data Protection
Feqino AI processes personal information according to its Privacy Policy and applicable data protection requirements.
Our Privacy Policy is available at the privacy policy page of our website.
When Feqino AI processes personal information on behalf of business clients, the parties may need a separate Data Processing Agreement.
Clients are responsible for having appropriate legal authority to provide and instruct the processing of personal information.
Feqino AI will comply with the legal and contractual responsibilities applicable to its role.
Additional safeguards may be required for healthcare information, international transfers, and sensitive personal information.
17. Suspension and Termination
Feqino AI may suspend or terminate services in circumstances including:
- Material violations of these Terms.
- Unlawful or prohibited use.
- Serious security risks.
- Failure to pay agreed fees.
- Breach of a material contractual obligation.
Where appropriate, reasonable notice and an opportunity to remedy the problem will be provided.
Immediate suspension may be necessary when continued service creates a serious legal, security, or safety risk.
17.1 Client-Initiated Termination
Clients may terminate services according to the cancellation provisions of their individual agreements.
Unless otherwise agreed, ongoing month-to-month services may be terminated by either party upon 30 days' written notice, subject to mandatory law.
Fixed-term projects and subscriptions remain subject to their agreed commitments and applicable cancellation rights.
17.2 Effects of Termination
Following termination:
- Services may be discontinued.
- Outstanding fees remain payable where legally and contractually due.
- Access to managed systems may be revoked.
- Client information will be handled according to applicable data protection requirements.
- Ownership, confidentiality, payment, and liability provisions may continue where appropriate.
Any required data export, transition assistance, or transfer of technical assets will be governed by the applicable service agreement and mandatory law.
18. Disclaimers
Feqino AI provides AI automation and software services using commercially reasonable care and skill, subject to applicable contractual and legal obligations.
AI-generated outputs may be inaccurate.
Software systems may experience interruptions, compatibility issues, or technical limitations.
Except for express contractual commitments and guarantees required by applicable law, Feqino AI makes no additional guarantee that services will satisfy every intended business objective or operate without interruption or error.
Nothing in this section excludes statutory guarantees, remedies, or other rights that cannot lawfully be waived.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Feqino AI's aggregate liability arising from or relating to an affected paid service under the applicable service agreement will generally not exceed the total fees paid or payable for that service during the 12 months immediately preceding the event giving rise to the claim.
Where the service has existed for less than 12 months, the relevant amount will be calculated using the fees paid or payable for that shorter period.
This limitation is intended to apply to ordinary contractual claims where such limitations are legally enforceable.
Nothing in these Terms excludes or limits liability where doing so would violate applicable law, including legally applicable restrictions concerning fraud, gross negligence, unlawful acts, or mandatory consumer rights.
Liability for particular types of losses, including indirect or consequential losses, may be further addressed in individual service agreements where legally permissible.
This section does not establish a monetary limitation on rights or remedies that cannot lawfully be restricted.
20. Indemnification
Each party agrees to take responsibility for qualifying third-party claims arising from its own specified unlawful conduct, material breaches, or misuse of the services, to the extent provided in the applicable agreement and permitted by law.
Client Indemnification
Clients agree to indemnify Feqino AI against reasonable, legally recoverable third-party losses and expenses arising from:
- The client's unlawful use of services.
- Unauthorized collection or disclosure of personal information by the client.
- Unlawful marketing instructions.
- Client-supplied materials that infringe third-party rights.
- Material violations of the acceptable use requirements.
This obligation applies only to the extent the relevant claim is attributable to the client's conduct.
Feqino AI Indemnification
Feqino AI agrees to take responsibility for qualifying third-party claims to the extent they arise from Feqino AI's own specified unlawful conduct or material contractual breaches, as determined by the applicable agreement and law.
Neither party is required to indemnify the other for losses attributable to the other party's own wrongdoing.
The parties should promptly notify each other of relevant claims and cooperate reasonably in addressing them.
Neither party may agree to a settlement imposing obligations on the other without appropriate authorization.
Any indemnification obligations remain subject to applicable legal restrictions and specifically agreed contractual limitations.
21. Client Portfolio and Publicity
Feqino AI may request permission to display completed work in its portfolio, website, or promotional materials.
We will not publicly identify a client or disclose confidential project information for promotional purposes without the client's prior authorization.
Permission may be documented separately or within the relevant project agreement.
Client data, confidential information, and sensitive personal information will not be included in promotional materials without appropriate legal authorization.
22. Changes to Services and Terms
Feqino AI may modify its website, update its service offerings, or introduce new functionality.
Changes affecting contracted services will be handled according to the applicable service agreement and mandatory law.
We may also update these Terms to reflect operational, legal, or technical changes.
When changes are made, the "Last Updated" date will be revised.
Material changes affecting existing contractual relationships will not automatically override previously agreed obligations without an appropriate contractual basis, notice, or consent where required.
23. Force Majeure
Neither party will be responsible for failure or delay in performing contractual obligations to the extent caused by events qualifying as force majeure under applicable law.
Such events may include extraordinary circumstances beyond the affected party's reasonable control that legally prevent performance.
The affected party should provide reasonable notice where possible and take appropriate steps to mitigate the effects.
Payment obligations for services already properly performed are not automatically extinguished by a force majeure event.
24. Governing Law
These Terms are generally governed by the laws of the Arab Republic of Egypt.
This choice of law does not deprive consumers of mandatory protections that apply to them under relevant legislation.
Other mandatory laws may also apply to particular services, activities, or international transactions.
25. Dispute Resolution
If a dispute arises concerning these Terms or services provided by Feqino AI, the parties agree to first attempt to resolve the matter through good-faith negotiation.
Either party may initiate the process by providing written notice describing the dispute.
The parties will ordinarily have 30 days from receipt of the notice to attempt a mutually acceptable resolution.
If the dispute remains unresolved, either party may bring proceedings before the competent courts of Alexandria, Egypt, to the extent such jurisdiction is legally permissible.
Nothing in this section prevents either party from seeking urgent legal relief where necessary or exercising rights that cannot lawfully be restricted.
26. General Provisions
Entire Agreement
These Terms, together with any applicable accepted proposal or service agreement, constitute the agreement between the parties concerning the relevant services.
Severability
If any provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
No Waiver
Failure to enforce a contractual right does not automatically constitute a waiver of that right.
Independent Relationship
Feqino AI operates as an independent service provider.
Nothing in these Terms creates an employment relationship, partnership, or joint venture between Feqino AI and its clients.
Assignment
Neither party may transfer material contractual obligations without appropriate consent, except as permitted by the applicable agreement or law.
